The question is in three parts.
PART 1: 60% weighting (suggested 1,800 words)
As a director of Australis Care Limited, you are asked to review each of
the following six agenda items, 8, 10, 11, 12, 13 and 14, for the board
meeting to be held on 29 September 2025. For each agenda item:
 Identify the key issues, state the reasons why you believe the issues
are significant, providing your analysis and rationale based on
information contained within the assignment.
 State the questions you would ask at the board meeting in relation to
each agenda item.
 Propose recommendations to address the issues you have raised for
the board’s consideration.
 Describe the anticipated outcomes, assuming your
recommendation(s) are adopted.
(NB: All agenda items are of equal weighting)
PART 2: 25% weighting (suggested 750 words)
In relation to agenda item 15: Merger Opportunity
1. Describe three key governance issues with this agenda item.
2. Based on the information provided, describe five key risks for
Australis Care in pursuing a merger with Western Kare Limited.
3. Assuming the resolution is approved, and you are part of the working
group, what five key pieces of information should the working group
review as part of its due diligence?
4. Having completed its due diligence, and assuming the working group
recommends Australis Care proceeds with the merger, describe three
key decisions to be resolved in merging Australis Care Limited with
Western Kare Limited.

PART 3: 15% weighting (suggested 450 words)
1. Identify five (5) additional (i.e. not previously discussed in answering
any of the above) governance issues that should raise concerns for the
board and why you identified each issue based on the information
contained within the assignment.
2. Recommend what should be done to address each governance issue
identified.
3. For each additional governance issue, outline how you would
personally influence your fellow directors to accept your
recommendations and progress their implementation.
